Terms and conditions of use

These Terms govern the relationship between Registru Companii and users of the services. By creating an account or using the Platform, you confirm that you have read and accept the Terms, Privacy Policy, and Cookie Policy.
If you do not agree to these provisions, do not use the Platform.
1. Definitions
- Platform: the website and digital services available at registrucompanii.ro.
- Account: the personal area created at registration and protected by sign-in credentials.
- Services: searching, viewing, monitoring, and exporting company information within the limits of the selected plan.
- Business User: a person using the Services in connection with their trade or professional activity.
- Consumer: an individual acting outside their trade or professional activity, as defined by applicable law.
- Public Data: information obtained from ONRC (Romanian National Trade Register Office), ANAF (Romanian National Agency for Fiscal Administration), Monitorul Oficial (Official Gazette of Romania), Portal Just, SEAP/SICAP, and other public sources.
2. Platform operator
The Platform is operated by TMTRG S.R.L., whose registered office is at JUD. TIMIŞ, MUN. TIMIŞOARA, BLD. 3 AUGUST 1919, NR.9, CAMERA 1, AP.2C, România, registered with the Trade Register under number J2026037309006, CUI 54845632.
3. Description of the Services
Registru Companii aggregates and structures public information about Romanian companies. Depending on the plan, features may include company profiles, financial indicators, informational scores, litigation, public procurement, monitoring, and exports.
Data comes from official registers and public sources, including ONRC, ANAF, Monitorul Oficial (Official Gazette of Romania), Portal Just, SEAP/SICAP, public websites, and, where contact enrichment is enabled, Google Places.
The information is provided for general information only and is not legal, tax, accounting, financial, or investment advice. Obtain legally valid documents from the competent official source.
4. Registration and account security
You must provide accurate, current information when registering and must not impersonate another person.
You are responsible for protecting your credentials and activity carried out through your account. Two-factor authentication is recommended. Tell us promptly if you suspect unauthorized access.
You must be at least 16 to create an account. The service is not intended for children below this age.
5. Plans, pricing, and payment
The Platform uses a freemium model. The exact features and limits are those shown on the pricing page and in the purchase flow when you order.
Prices and billing are in RON. Under the operator's current tax configuration, it is not VAT-registered under Article 310 of the Romanian Fiscal Code, so invoices are issued without VAT being collected. If that status changes, billing will follow the tax configuration active when the invoice is issued.
Paid subscriptions renew automatically until cancelled. Ordinary cancellation stops renewal at the end of the period already paid for. We do not offer a contractual refund for the unused portion, except where mandatory law requires otherwise.
A new price will apply to a future renewal only after the information required by law and the relevant terms have been presented. You may stop renewal before the new price takes effect.
- Silver: free access to the basic features shown in the current catalogue.
- Gold: a subscription with advanced features as described in the current catalogue.
- Platinum: a subscription with extended access as described in the current catalogue.
6. Mandatory consumer rights
If you are acting as a Consumer, you may have a right of withdrawal within the period and under the conditions set by Romanian Emergency Ordinance 34/2014. These Terms do not limit mandatory rights.
For digital services supplied immediately, a withdrawal right may be lost only when all legal requirements are met, including express consent and the confirmation required by law where applicable.
Contact support with a withdrawal, refund, or billing request. The absence of a commercial refund policy does not affect mandatory rights.
7. Acceptable use
Use the Platform in good faith, within your plan and the law. Without limiting other cases, you must not:
- profile or assess individuals in a way that breaches the GDPR or other rights;
- use data for unsolicited commercial communications contrary to law;
- extract data automatically or in bulk outside the mechanisms and limits provided by the Platform;
- resell, sublicense, or republish a substantial volume of data without written permission;
- gain unauthorized access, bypass controls, introduce harmful code, or attack the Services;
- carry out unlawful, fraudulent, deceptive activity or infringe a third party's rights;
We may restrict, suspend, or close access for breaches, subject to mandatory Consumer rights and applicable law.
8. Public data and accuracy
Data is collected and refreshed automatically from external sources. Those sources may contain errors, delays, or inconsistencies, and the Platform does not guarantee that every item is complete, accurate, or current in real time.
Do not make an important decision solely from Platform data. You remain responsible for checking the relevant register or authority.
9. Intellectual property
The Platform's code, design, brand, text, and database structure are protected by applicable rights. Primary data remains subject to the rights and conditions of the issuing sources.
You receive a limited, non-exclusive, non-transferable, revocable licence to use the Services under these Terms and your selected plan.
10. Limitation of liability
To the extent permitted by law, the Platform is provided as is and as available. We do not guarantee uninterrupted or error-free operation.
For Business Users, total contractual liability is limited, to the extent permitted by law, to the amount paid for the Services in the 12 months before the event giving rise to the claim. We exclude indirect loss where the exclusion is lawful.
For Consumers, nothing in these Terms excludes or limits a right or liability that cannot be excluded under mandatory law.
11. Privacy and data protection
The Privacy Policy describes how personal data is processed. The DPA applies only in the circumstances and roles described in that document and the relevant contract.
12. Changes to the Terms
We may update the Terms for legal, operational, or functional changes. Material changes will be communicated by reasonable means and in accordance with any mandatory notice period.
If you do not accept a change applying to a future renewal, you may stop renewal before its effective date.
13. Suspension, cancellation, and account deletion
We may suspend or end access at the user's request, for non-payment, a breach of the Terms, a legal requirement, or a security or operational reason.
Ordinary subscription cancellation stops renewal, and paid access continues until the end of the paid period.
Account deletion is different: the account and access are deleted immediately, and any active Stripe subscription is cancelled immediately. Access to the remaining paid period ends at that point; mandatory refund rights remain unaffected.
If invoices or fiscal records exist, we retain only the records required by law. The link to the active account profile is removed or pseudonymized to the extent permitted and necessary.
Clauses that must continue by their nature, including intellectual property, liability, and dispute provisions, remain effective after termination.
14. Force majeure
We are not liable for non-performance caused by force majeure or events beyond reasonable control, including unavailability of public registers or external infrastructure, as provided by law.
15. Governing law and disputes
The Terms are governed by Romanian law. We first try to resolve a written complaint amicably.
For Business Users, jurisdiction follows the applicable rules and, where legally permitted, lies with the courts at the operator's registered office.
Consumers may use the courts available under mandatory consumer-protection rules, including courts in their place of residence where the law provides.
16. Alternative dispute resolution
Consumers may contact ANPC, the Romanian consumer authority, and the national ADR mechanism under the applicable conditions.
The former EU ODR platform closed on 20 July 2025. It no longer accepts complaints; the EU portal below provides current consumer redress information.
17. Miscellaneous
- Assignment: you may not transfer the contract without our consent. Any transfer by the operator will comply with law and the user's rights.
- Severability: if a clause is invalid, the remaining Terms continue to apply to the extent permitted.
- Language: if the English translation differs in interpretation from the Romanian version, the Romanian version prevails, subject to mandatory law.
- Notices: official notices are sent to the operator's contact address or the address associated with the account.
